As the theme of this year’s conference was “AI and the Transformation of Our Industry,” we wanted to reflect that not only in the discussions on stage, but also in how we share the insights afterwards. Listen to this short podcast created with the support of AI, synthesising the key ideas, perspectives and debates from the evening. During the evening segment of the Festival of Governance, held to mark its 30th anniversary, GUBERNA organized a panel discussion with some of the country’s most experienced board members and executives. Their message was clear: the foundations of good governance remain solid, but the way boards operate must change fundamentally.

Family businesses form the foundation of our economy. They account for 80% of all Belgian companies. Yet they also face significant challenges: succession across generations, attracting and retaining talent, and financing growth in a capital market experiencing turbulent times. In this workshop, we explore how governance can serve as a lever. Structures such as a family forum, a board of directors, or external management help channel emotions and make strategy more objective.

Today, governance is a balancing act between fulfilling core responsibilities on the one hand and driving renewal towards greater agility, openness, and resilience on the other. The world around us is changing at a breakneck pace. Disruption is no longer just a buzzword. Engaging in innovation is a must, but how do we reconcile this with traditional governance models, where the board of directors often acts more as a brake than as a driver?

The future of our public enterprises stands or falls with good governance. This raises the question: if the government becomes a less incidental or a more strategic shareholder in the current climate, will existing governance practices in public enterprises endure? In this interactive session, we address three key questions: do shareholders and directors truly understand why they are at the table? Are they sufficiently prepared to carry out their mandate with expertise and courage? And how do they concretely fulfil this role while balancing discretion and accountability?

Cybersecurity is now at the top of boards’ agendas. It is no longer confined to IT alone, but sits at the heart of strategy, culture, and risk management. In this interactive session, directors and experts will discuss how boards can structurally embed cyber governance - a crucial new role for boards in a high-risk landscape.

What does tomorrow’s workforce expect from today’s leadership? The labour market is changing faster than ever, and employees are presenting increasingly new and diverse expectations to their employers. How can companies continue to respond to these demands? And what role do DEI principles play in this? Are they a strategic lever or just a buzzword? Six experts discussed these questions during the “30 Years GUBERNA – Festival of Governance.” Here, you can discover the key insights from that conversation.

Different generations bring their own perspectives to the boardroom, which can spark sharper discussions and more balanced decisions, if these differences are truly embraced. Traditional rules on good governance are being challenged: age alone doesn’t say much. What matters are skills, viewpoints, and whether a board makes room for new voices. Adding a younger member is one thing, but how do you make sure they actually make a difference? Panelists Denis Zenner, Béatrice de Mahieu, Hans De Cuyper, Griet Aerts, Sophie Stegen, Saartje Verbeke, and Louis Jonckheere shared their experiences on how generations, shareholders or not, interact and influence board dynamics.

Ze werd opgericht in 1976, ter gelegenheid van de 25ste verjaardag van koning Boudewijn, en groeide uit tot een filantropische instelling met honderden fondsen en duizenden betrokken experts. In 2017 gaf de stichting niet minder dan 40 miljoen euro uit. Vandaag gaat het om meer dan vijf keer zoveel. Die exponentiële groei vraagt om stevige structuren en nieuwe governance. “We beheren honderden miljoenen euro en de legitimiteit van onze beslissingen moet absoluut overeind blijven,” zegt Van Damme.

Erik Moniquet over modern bestuur bij Bewel: “Een maatwerkbedrijf met 2.200 medewerkers verdient ook een professionele governance” Met meer dan 2.200 medewerkers is Bewel een van de grootste maatwerkbedrijven in Vlaanderen. De organisatie koppelt een duidelijke maatschappelijke opdracht aan een stevige professionele werking. De voorbije jaren onderging Bewel een ingrijpende hervorming van zijn bestuursstructuur. GUBERNA begeleidde dit traject van dichtbij. Reden genoeg om in gesprek te gaan met Erik Moniquet, voorzitter van Bewel maar eveneens lid van de Advisory Board van Ethias Ventures en managing director van Moniquet & Company. In deze podcast blikken we met hem terug op de governance-hervorming van 2023, de evolutie van de bestuurscultuur én de rol van de voorzitter als brugfiguur.

Quand les valeurs du sport rencontrent les demandes de la bonne gouvernance  Comment assurer une gouvernance à la hauteur des valeurs que le sport incarne ? C’est à cette question centrale que Sandra Gobert, Directrice générale de GUBERNA, et Pierre-Olivier Beckers, nouveau Vice-président du Conseil Olympique International, ont consacré un échange riche en perspectives lors d’une interview qui a eu lieu le mardi 3 juin au sein des bureaux de GUBERNA. Leur discussion met en lumière les transformations en cours et les responsabilités croissantes des fédérations sportives. 

VIERNULVIER: een naamsverandering als katalysator voor bestuurlijke (r)evolutieHet Gentse kunstencentrum VIERNULVIER maakte van een gedwongen naamsverandering een springplank naar een radicaal nieuw bestuursmodel. "Never waste a good crisis," zegt algemeen coördinator Frankie De Vos. 

Jozef Lievens is advocaat en medeoprichter van het Instituut voor het Familiebedrijf en mederedacteur van de Code Buysse IV. Philippe de Vicq, kennen we als voormalig topman van Gevaert Holding en KBC Private Equity. Als ervaren bestuurder bij familiebedrijven is hij momenteel actief bij Lannoo Uitgeverij, Belgian Growth Fund en Quest for Growth.  Met hun drieën gingen ze dieper in op de fundamenten, de vernieuwde inzichten en vooral de praktische toepassingen van deze nieuwe versie, de vierde alweer, van de Belgische code voor niet-beursgenoteerde ondernemingen, beter bekend als de Code Buysse.

Mr. Van Dyck addresses critical questions such as how companies can mitigate AI-related risks to acceptable levels, the steps board members can take to protect themselves from personal legal consequences, and other essential legal considerations directors should be aware of.
